Terms of Service

1. About these terms
These terms govern use of Netriam, an AI-assisted document intelligence service supplied by NETRIAM LTD, registered in England and Wales under company number 17432800, with registered office at Unit C, Blackett Street, Manchester, United Kingdom, M12 6AE. Contact us at support@netriam.com.
Netriam is offered for business and professional use, including use by companies and sole traders. It is not offered for personal or household consumer use. A person accepting these terms for an organisation confirms that they have authority to bind it.
2. Accounts and authorised users
Customers must provide accurate account information, keep credentials secure and ensure that authorised users comply with these terms. The customer is responsible for activity under its account and must notify us promptly of suspected unauthorised access.
3. The service
Netriam can extract and structure document content, support human Confirmation, offer optional quality and audit reviews, and generate exports. Features may depend on the selected plan and available Processing Units. We may make reasonable changes needed to improve, secure or maintain the service without materially removing paid core functionality during a current subscription period.
4. AI, human review and standards
Netriam assists competent people; it does not replace professional judgement. AI output may be incomplete or inaccurate. Manual uploads require human Confirmation before export. Quality, Audit, Health and Standards Advisory results are guidance for review and are not legal, safety or certification advice.
References to ISO or other standards are high-level signposting only. Netriam does not reproduce proprietary requirements, assess conformity, issue certification or guarantee compliance. Customers must obtain any standards they require from an authorised source and use appropriately qualified reviewers.
5. Customer content
Customers retain ownership of their uploaded content. They grant Netriam and its service providers a limited licence to host, copy, transmit, analyse and transform that content only as needed to provide, secure and support the service.
Customers must have all rights, permissions and lawful bases needed to submit content. They must not upload unlawful material, malware, content that infringes another person's rights, or information they are not authorised to process.
6. Acceptable use
Users must not attempt to defeat security or access controls, access another organisation's data, disrupt the service, reverse engineer protected elements, misuse automated interfaces, resell access without agreement, or use Netriam for unlawful, deceptive or harmful activity.
7. Trials, subscriptions and Processing Units
Trials, plan features, prices, billing intervals and included usage are shown when an order is placed. Paid subscriptions renew for the selected interval unless cancelled. Stripe processes payments. Taxes may be added where applicable.
Processing Units measure document-processing capacity; the current conversion and balance are displayed in the service. Units are reserved or deducted when an upload is accepted. Except where required by law or expressly stated otherwise, failed or cancelled processing does not automatically restore units, and purchased top-ups are non-refundable once supplied.
8. Cancellation, suspension and data retention
Customers may cancel through the billing controls, with paid access continuing until the end of the current paid period unless stated otherwise. After service ends, existing data remains viewable/exportable during the plan's retention period—normally 30 to 180 days—while new processing is unavailable. Data is then scheduled for deletion.
We may suspend access where reasonably necessary for security, non-payment, unlawful use or a material breach. Where practicable, we will give notice and an opportunity to remedy the issue.
9. Confidentiality and data protection
Each party must protect the other's confidential information and use it only for the service relationship. Each party must comply with applicable data-protection law. Our Privacy Notice explains how Netriam handles personal data. Where Netriam processes personal data for a customer, our Data Processing Agreement forms part of these terms.
10. Intellectual property
Netriam and its licensors retain all rights in the service, software, branding and Netriam-authored material. No ownership transfers to the customer. Feedback may be used to improve Netriam without identifying the person who supplied it.
11. Availability and warranties
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. To the extent permitted by law, the service is provided without implied warranties beyond those that cannot lawfully be excluded. Customers remain responsible for source documents, review decisions, exported records, backups they require and decisions made using the service.
12. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings or goodwill. Netriam's total aggregate liability arising in any 12-month period is limited to the fees paid or payable by the customer for the service in that period. The customer must not rely on Netriam as the sole control for legal, regulatory, quality or safety compliance.
13. General
Neither party is liable for delay caused by events beyond its reasonable control. A failure to enforce a term is not a waiver. If part of these terms is unenforceable, the remainder continues. The customer may not transfer its agreement without our consent; we may transfer it as part of a reorganisation or sale of the business, provided customer rights are not materially reduced.
14. Governing law
These terms and any non-contractual dispute are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
